End-User License Agreement (EULA) for Spanish Curriculum Powered by Sombrero Time™
This End-User License Agreement (“EULA”) is a legal agreement between you and R&D Educational Systems, Inc, DBA “Sombrero Time”.
This EULA agreement governs your acquisition and use of Content purchased from SpanishCurriculum.com, Sombrero Time or indirectly through a R&D Educational Systems. Content shall encompass all digital and printed curriculum including lesson plans, student workbooks and graphic tools supplied by Sombrero Time.
Please read this EULA agreement carefully before using your Spanish Curriculum digital or printed resources. It provides a license to use digital and printed Content provided by Spanish Curriculum and Sombrero Time and contains warranty information and liability disclaimers.
If you register for a free trial of the Spanish Curriculum this EULA agreement will also govern that trial. By clicking “accept” and using Content from SpanishCurriculum.com, you are confirming your acceptance of the Content and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a school or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not complete your free trial or use any Content available for purchase from Sombrero Time
This EULA agreement shall apply to all digital and printed curriculum including lesson plans, student workbooks and graphic tools supplied by Sombrero Time herewith. The terms also apply to any Sombrero Time updates, supplements, Internet-based services, and support services for all digital and printed Content, unless other terms accompany those items on delivery. If so, those terms apply.
Sombrero Time hereby grants you a personal, non-transferable, non-exclusive licence to use any and all Content purchased on SpanishCurriculum.com in your classroom, school or district as outlined below:
Teacher Site License – Content may be used by a single teacher at any location of her/his choosing.
School Site License – Content may be used by multiple teachers on a single school site
District Site License – Content may be used and distributed to any/all district school sites to be used by an unlimited number of teachers.
You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Content nor permit the whole or any part of the Content to be combined with or become incorporated in any other Content
- Reproduce, copy, distribute, resell or otherwise use the Content for any commercial purpose
- Allow any third party to use the Content on behalf of or for the benefit of any third party
- Use the Content in any way which breaches any applicable local, national or international law
- use the Content for any purpose that Sombrero Time considers is a breach of this EULA agreement
Intellectual Property and Ownership
Sombrero Time shall at all times retain ownership of the Content as originally purchased by you and all subsequent purchases of the Content by you. The Content (and the copyright, and other intellectual property rights of whatever nature in the Content, including any modifications made thereto) are and shall remain the property of Sombrero Time.
Sombrero Time reserves the right to grant licences to use the Content to third parties.
This EULA agreement is effective from the date you first use the Content and shall continue until terminated. You may terminate it at any time upon written notice to Sombrero Time.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Content. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of us.
